1. Acceptance of Terms

By accessing or using Charm Ai ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. We reserve the right to modify these terms at any time. Continued use after changes constitutes acceptance.

2. Age Requirement

You must be at least 18 years old to use Charm Ai. By using this Service, you confirm that you are 18 years of age or older. We do not knowingly provide services to anyone under 18. If we discover a user is under 18, their account will be immediately terminated.

3. Description of Service

Charm Ai is an AI-powered dating conversation assistant. The Service analyzes conversation screenshots or text you provide and generates suggested responses using artificial intelligence.

Important: AI-generated responses are suggestions only. You are solely responsible for any messages you choose to send. Charm Ai does not guarantee any specific outcomes, matches, or dating success.

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials. You agree to:

• Provide accurate and complete registration information
• Maintain only one account per person
• Not share your account with others
• Notify us immediately of any unauthorized access

5. Acceptable Use

You agree NOT to use Charm Ai to:

• Harass, stalk, or intimidate any person
• Send threatening, abusive, or hateful messages
• Engage in any illegal activity
• Deceive, defraud, or mislead others
• Impersonate another person
• Send unsolicited commercial messages or spam
• Upload content containing malware or harmful code
• Attempt to access other users' accounts
• Reverse engineer or copy the Service
• Use automated bots or scripts

Violation of these rules may result in immediate account termination without refund.

6. Credits and Subscriptions

Free Tier: New users receive 5 free credits. Each AI response generation uses 1 credit.

Paid Subscriptions: We offer Monthly ($4.99/month) and Yearly ($29.99/year) subscription plans that provide unlimited credits during the subscription period.

Billing: Subscriptions are billed in advance on a recurring basis. Your subscription will automatically renew unless you cancel before the renewal date.

Refunds: Due to the digital nature of the Service, we generally do not offer refunds. However, if you experience technical issues preventing use of the Service, contact support@charmai.app and we will review your case.

7. Cancellation

You may cancel your subscription at any time. Upon cancellation, you will retain access until the end of your current billing period. After that, your account will revert to the free tier with 0 credits.

8. Vacation Incentive Program

Charm Ai offers a complimentary vacation incentive through our partnership with MarketingBoost. Please read these terms carefully:

Eligibility:

• Yearly Subscribers: Eligible immediately upon first yearly subscription purchase
• Monthly Subscribers and Free Users: Eligible after successfully referring 10 valid new users

Claim Limits:

• One incentive per person, lifetime. Each individual may only claim one vacation incentive from Charm Ai, ever.
• IMPORTANT - MarketingBoost Cross-Company Limit: If you have already claimed a vacation incentive through ANY other company that uses MarketingBoost, you will NOT be eligible to claim through Charm Ai. MarketingBoost limits each person to ONE vacation across ALL their partner businesses worldwide.
• Charm Ai cannot verify prior claims with other companies. If MarketingBoost rejects your claim due to a prior redemption elsewhere, Charm Ai is not responsible and cannot provide alternative compensation.
• Renewing your yearly subscription does NOT qualify you for additional incentives
• Reaching 10 referrals multiple times does NOT qualify you for additional incentives

Anti-Fraud Policy:

To prevent abuse, the following rules apply to referrals:

• Referrals must be unique, real people
• Referred users must create an account AND verify their email address
• No self-referrals or creating multiple accounts
• No referrals from the same IP address or device
• No bots, scripts, or automated signups
• Referred users must be genuinely new and never had a Charm Ai account before
• Referred users must not be immediate family members sharing the same household

Consequences of Fraud:

• Charm Ai reserves the right to disqualify fraudulent referrals at our sole discretion
• Vacation incentives may be revoked if fraud is detected, even after claiming
• Accounts involved in fraud may be permanently banned without refund
• We may pursue legal action for severe or repeated fraud

Third-Party Fulfillment Disclaimer:

• Vacation incentives are provided and fulfilled by MarketingBoost, a third-party company
• Charm Ai is NOT responsible for the fulfillment, availability, or quality of vacation incentives
• Vacations are subject to MarketingBoost's own terms, conditions, and availability
• Users may be responsible for taxes, fees, or incidental costs associated with the vacation
• Blackout dates and travel restrictions may apply
• Incentives have no cash value and cannot be exchanged for money
• MarketingBoost reserves the right to modify or discontinue their incentive program

By participating in the vacation incentive program, you acknowledge and accept all of the above terms.

9. AI-Generated Content Disclaimer

Charm Ai uses artificial intelligence to generate response suggestions. You acknowledge that:

• AI-generated content is provided as-is without guarantees of accuracy or appropriateness
• You are solely responsible for reviewing and modifying suggestions before use
• You are solely responsible for any messages you choose to send to others
• Charm Ai is not liable for any consequences of using AI-generated suggestions
• AI may occasionally generate unexpected, incorrect, or inappropriate content

10. Intellectual Property

The Charm Ai name, logo, website design, and underlying technology are owned by us and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service without our written permission.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHARM AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR RELATIONSHIPS, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS.

12. Indemnification

You agree to indemnify and hold harmless Charm Ai and its owners from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of another person.

13. Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
